Where the Bidder's government property system is not reviewed by a cognizant government agency, MDC representatives may conduct property system surveys by telephone, written correspondence and/or through visits to Bidder's facility. Bidder must submit to the MDC Buyer the name and phone number of its representative who manages or controls government property and will be the interface in conducting property system surveys and other property control matters.

Bidder further agrees to provide the foreign subcontracting information required in accordance with Boeing's General Provisions and/or Terms & Conditions. The offeror may be relieved of requirements included in this Request for Proposal (RFP) when these requirements are inconsistent with Government approved SPI processes at the offeror's facility. This relief will be granted only under the following conditions: (1) The MDC customer (US Air Force, US Navy, US Army or NASA) must have been a party to the SPI approval at the offeror's facility. (2) The offeror must describe in writing how the RFP requirements are inconsistent with the SPI processes, and must commit that there will be no adverse impact to performance, cost, quality or schedule due to the substitution of the offeror's approved SPI processes. (3) MDC must be satisfied that there are no firmly definable rea- sons (legal, technical or otherwise) why the offeror's approved SPI processes cannot be used on the MDC prime contract. MDC will consider all Government approved SPI processes meeting the above conditions as meeting the baseline MDC RFP requirements and not as alternate proposals.

Various work packages are being put together as a result of MDA's desire to continue to perform its contractual obligations during an ongoing work stoppage at MDA-St. Louis. MDA is considering placing subcontracts for these work packages with suppliers on a temporary basis during the work stoppage. MDA intends to reserve the right to cancel all or part of these subcontracts at the conclusion of the workstoppage. Because these subcontracts are temporary, suppliers should quote price and other terms with the likelihood of cancellation as oneof the factors to be considered. If a subcontract is canceled as a result of the end of the work stoppage, MDA will generally reimburse a supplier's reasonably incurred costs plus a reasonable profit for work in process, up to a prenegotiated termination liablity ceiling (which may include compensation for such things as additional incidental machinery and moderate facility renovation costs which are required to perform the subcontract). Even though these subcontracts should be considered temporary, suppliers should propose the most economical price terms available, and state the minimum period of time needed to perform a subcontract in order to achieve the best quoted price. Suppliers therefore may choose to quote one price for use if the subcontract is canceled in the first ninety days after award, a second price which would apply if the subcontract is canceled between 91 and 180 days, and so forth. MDA intends to place any resultant purchase order at the best value, taking into account the lowest price. If, however, such a subcontract is canceled, suppliers should expect that the subcontract price would be redeterminable based upon the duration of the subcontract, and that MDA will reimburse supplier's reasonably incurred costs for work in process plus a reasonable profit on such work.
