Contract go-ahead is defined as the date of receipt of written notice from MDC to Seller to proceed with the effort required in connection with the applicable procurement specification. Scheduled events in the Supplier Data Requirements List (SDRL), purchase order or other contractual documents expressed in days, weeks or months after receipt of order (ARO) shall be understood to be days, weeks or months after go-ahead.

Notwithstanding any provisions of this contract to the contrary, including but not limited to Special Condition 0564 if such condition appears herein, Seller agrees that in the event MDC finds it necessary to direct stretch-outs in equipment deliveries under thiscontract, any such stretch-outs in equipment delivery schedules will be accomplished by Seller at no increase in contract price, provided that such stretch-outs in delivery schedules do not exceed four (4) months for this contract. In the event such direction from MDC exceeds four (4) months, Seller will be entitled to claim such equitable price adjustment as may be appropriate under the Changes article of the General Contract conditions, but only for the period ofdeliveries that exceed the aforesaid 4 month stretch-out in schedule. However, it is noted that the provisions of this clause do not limit MDC's rights to direct changes in delivery schedules as a result of design deficiencies disclosed in Seller's equipment and/or Seller's failure to meet milestone dates under Special Condition 0576, if such condition appears herein, inasmuch as Seller continues to retain complete cost responsibility for such schedule changes if they occur.

In the event this contract presently or at a later date requires the Seller to deliver component items of the equipment as WRA's under separate line items, MDA's purchase of such items continues to be as a complete system and will not result in any increase in contract price and/or option prices. Accordingly, the scheduled delivery of component WRA's shall not relieve the Seller of system responsibility for the equipment required by the MDA procurement specification.

Seller's responsibility for impact of tests on scheduled deliveries ofproduction equipment. (A) The prototype/preproduction development tests, reliability development tests, maintainability demonstration tests and laboratory demonstration tests, excluding the reliability demonstration tests, shall be completed by Seller under the FSD contract in accordance with the schedules reflected in Paragraph (D) of Special Condition 5563. Moreover, the prototype/preproduction development tests are required to be completed prior to the commencement of the maintainability demonstration tests and laboratory demonstration tests. Successful completion of these tests will be signified by MDA's approval of each of the applicable test reports. (B) In the event that any one or more of the above tests, prototype/preproduction development tests, reliability development tests, maintainability demonstration tests and laboratory demonstration tests are not successfully completed prior to scheduled delivery of the first production equipment, MDA has the option of directing the Seller to deliver production equipment to the required delivery schedules reflected in the contract and/or options prior to the completion of such tests. In this event, the Seller is not relieved of total liability, including costs, for retrofit in delivered and/or forward fit in to be delivered equipment, of any changes required to be incorporated in the production equipment as a result of the aforesaid tests. /C/ Moreover, inasmuch as the reliability demonstration tests are not scheduled to be successfully completed prior to delivery of the first production equipment, the Seller shall also retain cost responsibility for retrofit and/or forward fit incorporation of changes required in production equipment as a result of reliability demonstration tests. /D/ Seller's cost responsibility for retrofit and/or forward fit incorporation of changes in equipment applies to non-recurring as well as recurring work and also includes Seller's responsibility to accomplish any corresponding changes impacting mock-ups, lighting standards, spares, computer software programs, GSE, data, technical manuals and any other items on order or under option. Accordingly, under the provisions of this clause, Seller's liability shall include the obligation to accomplish all corrective actions (such as shown in Special Condition 7009) and as directed by MDA, at no increase in contract price and/or option prices.

Seller's responsibility for impact of tests on scheduled delivery of preproduction equipment (A) The prototype/preproduction development tests shall be successfully completed by Seller at least 120 days prior to the scheduled first flight of the equipment in an F-18 aircraft. Successful completion of these tests will be signified by MDA's approval of the applicable test reports. (B) These prototype/preproduction development tests may be conducted on the preproduction equipment scheduled to be delivered by Seller for installation in that F-18 aircraft for first flight of Seller's equipment or such prototype/preproduction development tests may be conducted by Seller on any other preproduction equipment of the same configuration available to the Seller under this contract. However, Seller's selection of thepreproduction equipment on which such prototype/ preproduction development tests are performed will be scheduled for the tests in sufficient time to enable successful completion of the tests and refurbishment of the tested equipment to assure delivery of the equipment in accordance with the contract schedule. (C) In the event prototype/preproduction development tests are not successfully completed prior to the 120 day period specified in Paragraph (A) above, MDA has the option of directing the Seller to deliver preproduction equipment to the contract schedule prior to the completion of such tests. In this event, the Seller is not relieved of total liability /including costs/, for retrofit in delivered equipment and/or forward fit in to be delivered equipment, of any changes required to be incorporated in the preproduction equipment as a result of the aforesaid tests. (D) Moreover, inasmuch as the reliability development tests, maintainability demonstration tests, reliability demonstration tests and the remaining laboratory demonstration tests are scheduled to be performed and completed at a later date, the Seller shall also retain cost responsibility for retrofit and/or forward fit incorporation of changes required in preproduction equipment as a result of these tests. (E) Seller's cost responsibility for retrofit and/or forward fit incorporation of changes in equipment applies to nonrecurring as well as recurring work and also includes Seller's responsibility to accomplish any corresponding changes impacting spares, computer software programs, GSE, data, technical manuals and any other items on order or under option. Accordingly, under the provisions of this clause, Seller's liability shall include the obligation to accomplish all corrective actions, such as shown in Special Condition 7009, and as directed by MDA, at no increase in contract price and/or option prices.

Delivery dates in this contract are dates goods are required on Buyer's dock. When Seller anticipates that any goods will not be on dock by the required delivery date, Seller shall notify Buyer's Authorized Procurement Agent and/or Supplier Manager, and shall propose a new delivery date. Seller shall then enter the proposed delivery date into Buyer's Supplier Delivery Follow-Up (SDF)System, accessible via the Internet through the Contractor Integrated Technical Information Service (CITIS). If Seller does not have a CITIS account with Buyer, Seller shall contact Buyer's Authorized Procurement Agent or Supplier Manager to set one up. By allowing Seller to enter proposed delivery dates into Buyer's SDF System, Buyer is not accepting the proposed dates, or waiving any rights or remedies available to Buyer at law or equity or under this contract.

If Seller manufactures goods or procures materials, components, supplies, etc, in advance of Seller's lead time without MDC's prior written consent, Seller assumes all risks associated with such activity.
