Shipments delivered to MDC under this contract shall be accompanied by the MDC furnished work order on which Seller shall validate its completion of the assigned tasks by affixing its acceptance stamp to each assigned task on the work order. In the event Seller deems it necessary to annotate any additional information on the work order, such annotation shall be made only with black ink. This properly completed work order shall comstitute Seller's asserion of product conformance. Seller's packing sheet shall list the applicable MDC purchase order number, the MDC work order serial number and all operations assigned for Seller's completion.

MDC retains all rights to the film ordered hereunder. Seller may not, without the prior written consent of MDC, use such film for any purpose other than the peformance of work for MDC. Supplier's certified test reports shall give the thermal processing history of the material subsequent to final working. This thermal processing history shall include the processing temperatures, the times at temperature and method of cooling from temperature. All titanium product forms, except extrusions, supplied to this contract shall exhibit a microstructure indicative of Alpha-Beta processing containing primary Alpha in a transformed Beta matrix. The microstructure shall not exhibit more than 25% prior Beta grain boundaries or other evidence of processing above the Beta transus unless Beta processing is specified in the material specification.

Specification responsibility (A) The Seller hereby acknowledges that Seller has represented and this contract has been executed by both parties on the basis that Seller has reviewed and accepted the procurement specification(s) as set forth in this contract. Such specification(s) set forth the performance requirements for the equipment and associated items being purchased herein. (B) Accordingly, notwithstanding any conflict or inconsistency which hereafter may be found between achievement of the aforesaid performance requirements and adherence to the Seller's proposed design for the equipment and associated items being purchased herein, the Seller hereby warrants that the equipment and associated items to be delivered or performed hereunder will meet or exceed the performance requirements of the said specification(s). (C) The Seller agrees that it hereby assumes all risks of impossibility of performance, and commercial impractibility, under this contract. (D) Notwithstanding the -changes- clause or any other provision in this contract, the Seller hereby agrees that no changes to the aforesaid specification(s) which may be agreed upon to permit achievement of the performance requirements specified in this contract for the Seller's proposed equipment and associated items shall entitle the Seller to either any price increase or any extension of the delivery times beyond those set forth herein. (E) Seller further agrees that the design features, if any, set forth in the above specification(s), were reviewed and considered by Seller and that Seller assumes all risks and full responsibility for such design features.

Specification responsibility (A) Seller has represented and this contract has been executed on the basis that Seller has reviewed and accepted the procurement specification(s) in this contract. Such specification(s) contain the performance requirements for the goods and services being purchased. (B) If goods delivered or services performed do not meet or exceed such performance requirements, Seller will, at no increase in contract price, re-design the goods or re-perform the services and correct all affected technical data and computer software required by this contract. Re-designed goods, re-performed services and corrected technical data and computer software are subject to this article. Buyer's review or approval of Seller's drawings or design, at any stage of development or production, does not relieve Seller of its obligations under this contract. (C) Seller agrees that it assumes all risks of impossibility of performance and commercial impracticability under this contract. (D) In establishing its pricing, Seller has anticipated that it may be necessary to modify the specifications, drawings and design of the goods in order to meet the performance requirements of this contract. Until the goods have completed all testing required by this contract and Seller has received Buyer's written approval of test results, the risk has been allocated to Seller that the specifications, drawings or design of goods may need to be so modified, and the fixed price of this contract is based on that allocation. Seller will not submit a claim for, and will not be entitled to, an adjustment of the contract price or the delivery schedule for any such modification to drawings, design or specifications.

For the correction of design deficiencies, including but not limited to deficiencies disclosed as a result of inspections, acceptance tests, formal qualification tests, reliability-maintainability tests, sampling tests, age/automatic test equipment compatibility tests, other tests performed by the Seller, and associated MDA and/or government testing, and in accordance with MDA Management Requirements - General, and subject to the other provisions of this contract, Seller shall be responsible, as directed by MDA, to accomplish all redesign, rework, retesting, and other associated effort to bring all equipment, modification kits, spares, computer programs, data and technical publications, delivered or to be delivered, up to the specified requirements of the contract at no increase in the contract price and/or option prices.

Computer programs - (A) Unless specified elsewhere in this contract, MDC reserves the right to specify the manufacturer, model, configuration, operating system version and mode of operation of general purpose or special purpose computing equipment which is to be supplied by MDC to compile, assemble, list, store or run any computer programs delivered under this contract. MDC may at its option make those revisions, deletions, additions and other changes which in its judgment are required to validate, store, list, compile, run, assemble or otherwisemake use of delivered computer programs with either the specified equipment, associated equipment or with computing equipment other than that specified. Such modifications shall in no way be construed as constituting acceptance or as invalidating Seller's warranty of the unmodified program, as set forth below. (B) Delivered computer programs shall be accompanied with documentation separate from program listings and comments. Specific documentation requirements may be specified elsewhere. However, as a minimum, the documentation shall include but not be limited to a description of the operation of the program, its structure, inputs andoutputs, its uses and modes of operation, the algorithms used in the program and such additional information as is necessary to load, store, compile, assemble, understand, use and change the program. (C) MDC reserves the right to specify the medium, format, labeling and partitioning of source and object programs and data delivered under this contract. All source and object decks, tapes or other computer readable items shall be accompanied by listings.

In the event that the above information is perceived to be in error resulting in fabrication or quality concerns, the Seller shall promptly notify the MDC Purchasing Representative and shall not continue with performance of the work until such concerns are reconciled.
