Updates to Seller's property inventory (additions, deletions, modifications) are to be submitted in accordance with Form 5166 "The Boeing Company Property Control Accountability Requirements", and must reference the Accountability Record Number, consisting of an "A" prefix and the Seller's Responsible CAGE Code number, identifying Seller's site and property inventory which is

Tooling produced or furnished hereunder is the property of MDC or the Government and will be used only for fabrication of MDC parts or assemblies. A detailed description and sketch or marked up blueprint will be submitted to MDC for planning and tool design approval prior to any rework or addition. Tools will be maintained current to the latest production configuration. MDC will determine when production capability for a superseded configuration must be retained and additional new tooling may be authorized. Discrepancies in MDC furnished tooling must be reported to MDC Tool Inspection Dept E820 on Tool Rejection Tag (MAC 407) 861C, and processed in accordance with MDC Quality Assurance Standard Practice 10.130 within thirty (30) days after receipt, if charges for restoration to tool design configuration are to be considered by MDC. Approval of Tool Completion Reports (TCR's), MDC Form 1500, and payment of invoices for new or reworked tools will be withheld until such tools have made acceptable parts. MDC field representative must approve the TCR for either new tooling or tooling rework of $1000.00 or more. In the event that inspection is not performed by MDC personnel, Seller will furnish at no cost to MDC, photographs of each tool, bearing the MDC assigned tool number. Tooling will not be destroyed, transferred or returned without MDC Form 2024/2024A initiated and authorized by the MDC buyer. Seller must include a copy of the MDC Form 2024/2024A with any tool shipment. The "Reason for Return" section must include the name of the buyer and the SMI Manufacturing Engineer. Failure to comply with these instructions will result in Seller being liable for freightcharges. Tooling will be retained at no cost to MDC for a period of seven (7) years after final shipment of the production items unless directed otherwise by MDC.

In addition, at no cost to MDC, said tooling is to be retained for a period of seven (7) years after final shipment ofpurchased items, and returned to MDC upon request, or disposed of as directed upon submittal of Inventory Schedule D, SF 1432.

Cost of tool maintenance for production hereunder shall be included inquoted part price and Seller shall bear such cost. Tool maintenance required by this special condition shall consist of the following: (A) replace tooling pins and keys as required. (B) repair elongated tooling holes and worn keyways. (C) clean and polish working surfaces of dies as required to prevent scoring or marking of parts. (D) protect entire die with anti-oxidant (everlube or equivalent) after each run of parts. (E) any other minor rework not to exceed three (3) man-hours. Cost of any tool rework or replacement which is not covered by the above shall be negotiated separately as the need arises.

Seller hereby grants to Buyer permission to use technical data supplied or to be supplied by Seller for the reprocurement of Support Equipment needed to assemble or disassemble Seller's equipment for maintenance and/or repair operations from Small/ Small Disadvantaged Business (S/SDB) concerns notwithstanding any proprietary or limited rights markings that may appear on said technical data. Seller also agrees that where drawings make reference to Seller's process specifications, Seller will supply copies of the referenced specifications or MIL. Spec. equivalent processes which will satisfy the production requirement. Buyer agrees that it will invoke reasonable restrictions on the S/SDB concerns to limit further disclosure or use of Seller's data by the S/SDB concern. This shall be Buyer's only duty to protect Seller's proprietary information and it shall be Seller's duty to enforce, by whatever means available to Seller, the protections obtained by Buyer for Seller.

Seller shall provide MDC with tool completion report "TCR" form 1500, properly prepared when tooling charges are on purchase order. Payment of invoices will be held pending receipt of the first parts made from these tools.

No such tooling is to be destroyed, disposed of, or transferred without written authorization from MDC or the Government. Invoices for tools fabricated to this contract will be payable at such time as Seller has obtained MDC approval of the Tool Completion Report, MDC Form 1500. The Tool Completion Report must contain the Seller assigned tool number, description of tool and the appropriate tool letter(s) as described in MDC Form T-1.0, attached hereto.

(A) In the performance of this contract Seller shall provide, at no direct charge to MDC, all common tooling and/or common test equipment, and shall be responsible for all periodic maintenance and refurbishmentor replacement required to manufacture, test and deliver the goods purchased by MDC. Such common tooling and/or common test equipment shall be owned by Seller and be of a design, type, quality and quantity adequate to support a peak monthly production rate of 12 ship/sets of equipment, etc., based on a one-shift eight-hour per day, five-day work week. In addition, such common tooling and/or common test equipment shall have a minimum production life and durability of fourteen (14) years. (B) If during the performance of this contract, it is necessary for the Seller to acquire additional common tooling and/or common test equipment and/or to modify existing common tooling and/or common test equipment, such action shall be accomplished at no cost to MDC. Accordingly, such common tooling and common test equipment costs will continue to be completely absorbed by Seller as its cost responsibility. (C) Seller shall retain common tooling and/or common test equipment required hereunder at no cost to MDC for a period of seven (7) years after shipment of the final item to be delivered under the last production order that may be placed by MDC. (D) In as much as Seller is absorbing all costs applicable to common tooling and/or common test equipment above, such costs shall not be recognized as direct costs in substantiating prices for any items under this contract.

Such special tooling and/or special test equipment shall be of a design, type, quality and quantity adequate to support a peak monthly production rate of 4 ship sets of equipment (including the various types of spares, e.g., WRA's, SRA's, sub-SRA's, etc.) based on a one-shift, eight-hour per day, five-day work week. In addition, such tooling and/or test equipment shall have a minimum production life and durability of 14 years. (B) This special tooling and/or special test equipment shall also be of a design, type, quality and quantity capable of being expanded to support a peak monthly production rate of 12 ship sets of equipment (including the various types of spares, e.g., WRA's, SRA's, sub-SRA's, etc.), if an additional quantity of special tooling and/or special test equipment is subsequently purchased by MDC, through the exercise of an option or separate purchase, either at one time or incrementally from time to time. This monthly rate capability of 12 ship sets is also based on a one-shift, eight-hour per day, five-day work week and such special tooling and/or special test equipment shall have a minimum life and durability of 14 years. (C) Seller shall retain the special tooling and/or special test equipment required hereunder at no cost to MDC for a period of seven (7) years after shipment of the final item to be delivered under the last production order that may be placed by MDC. (D) This clause also assumes Seller's compliance with the requirements of MAC Form 3168A "Notice of Intent to Acquire Special Test Equipment" and other contract provisions affecting special tooling and/or special test equipment.

This monthly rate capability of 11 ship sets is also based on a one-shift, eight-hour per day, five-day work week and such special tooling and/or special test equipment shall have a minimum life and durability of 14 years. (C) Seller shall contact the MDC Procurement representative for direction on disposition of ST/STE after the last production order is completed. (D) This clause also assumes Seller's compliance with the requirements of MAC Form 3168A "Notice of Intent to Acquire Special Test Equipment" and other contract provisions affecting special tooling and/or special test equipment.
