Seller's location, facilities, quality control and manpower availability are a consideration in the award of this contract. Seller agrees to discuss with MDC, prior to implementation, any proposed plans for changes affecting MDC work hereunder. MDC may terminate this contract for default under the general terms and conditions governing this contract if, in the reasonable opinion of MDC, changes proposed would jeopardize Seller's ability to perform this contract in accordance with scheduled deliveries.

Seller hereby agrees that adequate facilities for the performance of this contract are available or will be obtained at no additional costs to MDC or the United States Government.
